1. Definitions

For the purposes of these Terms and Conditions:

  • "Service" refers to the consulting engagements and advisory services provided by Jurnex
  • "User" or "Client" refers to any individual or organization that engages our services or uses our website
  • "We," "Us," "Our" refers to Jurnex
  • "Content" means any information, text, graphics, or materials available through our services or website
  • "Agreement" means these Terms and Conditions together with any engagement letters or contracts

2. Acceptance of Terms

By accessing our website or engaging our consulting services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services or website.

You confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are accessing our services on behalf of an organization, you confirm that you have authority to bind that organization to these terms.

3. Service Description

Jurnex provides business consulting services in the following areas:

  • Environmental Compliance Advisory
  • Customer Retention & Loyalty Strategy
  • Healthcare Industry Advisory

Services are provided based in Hong Kong and are subject to availability. Specific scope, deliverables, timeline, and pricing for each engagement are defined in individual engagement letters or contracts.

We reserve the right to decline engagements where we identify conflicts of interest, lack appropriate expertise, or determine we cannot serve the client's interests effectively.

4. Engagement Process

Consulting engagements typically follow this process:

  1. Initial consultation to discuss your needs and determine engagement fit
  2. Proposal outlining scope, deliverables, timeline, and fees
  3. Execution of engagement letter or contract
  4. Service delivery according to agreed scope and timeline
  5. Delivery of specified outputs and knowledge transfer

Engagements begin upon receipt of signed engagement letter and any required initial payment. Changes to agreed scope require written amendment to the engagement letter.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for the engagement
  • Provide timely access to relevant personnel, documentation, and systems
  • Respond to information requests within reasonable timeframes
  • Designate appropriate internal contacts and decision-makers
  • Notify us promptly of any relevant changes in circumstances
  • Comply with applicable laws and regulations

Delays in providing necessary information or access may affect engagement timeline and deliverables. We are not responsible for delays caused by circumstances beyond our control or client-caused delays.

6. Intellectual Property

All intellectual property rights in our methodologies, frameworks, tools, and general business knowledge remain our property. Engagement deliverables prepared specifically for you become your property upon full payment, subject to the following:

  • You may use deliverables for your internal business purposes
  • You may not redistribute, sell, or commercialize our deliverables
  • We retain rights to use general knowledge and methodologies in future engagements
  • We may use anonymized case study information for marketing purposes unless otherwise agreed

Any intellectual property you provide to us during engagements remains your property. You grant us a limited license to use such information solely for purposes of delivering the agreed services.

7. Payment Terms

Fees for our services are as follows:

  • Environmental Compliance Advisory: HKD 4,400
  • Customer Retention & Loyalty Strategy: HKD 9,800
  • Healthcare Industry Advisory: HKD 19,600

Payment terms:

  • Payment is due within 14 days of invoice date
  • Payment methods: Bank transfer or cheque
  • Currency: Hong Kong Dollars (HKD)
  • Late payments may incur interest at Hong Kong statutory rate

Fees are exclusive of any applicable taxes. Clients are responsible for any taxes, duties, or levies imposed by tax authorities.

8. Confidentiality

We treat all client information as confidential and implement appropriate safeguards to protect it. We do not disclose client information to third parties except:

  • With your written consent
  • When required by law or legal process
  • To professional advisors bound by confidentiality obligations
  • To subcontractors under confidentiality agreements (with your approval)

Confidentiality obligations continue after engagement completion. Specific confidentiality terms are detailed in engagement letters and may include mutual obligations.

9. Professional Standards

We maintain professional standards in all engagements:

  • Services are provided with reasonable skill and care
  • We maintain independence and objectivity in our advice
  • We identify and manage conflicts of interest appropriately
  • We comply with applicable professional and ethical standards
  • We maintain appropriate professional indemnity insurance

10. Disclaimers

Our services are provided "as is" with the following disclaimers:

  • We provide professional advice based on information available at the time
  • We do not guarantee specific business outcomes or results
  • Implementation of recommendations remains client responsibility
  • Our advice does not constitute legal, accounting, or financial advice unless explicitly stated
  • Clients should seek appropriate professional advice for specialized matters

While we exercise reasonable skill and care, consulting advice involves judgment and business conditions change. Actual results may differ from projections or expectations discussed during engagements.

11. Limitation of Liability

Our liability to you is limited as follows:

  • Total liability is capped at fees paid for the specific engagement
  • We are not liable for indirect, consequential, or special damages
  • We are not liable for losses arising from client decisions or implementation
  • Liability exclusions do not apply to fraud, willful misconduct, or gross negligence

You agree to indemnify us against claims arising from your misuse of our advice, violation of applicable laws, or breach of these terms.

12. Termination

Either party may terminate an engagement:

  • By mutual written agreement
  • If the other party materially breaches these terms
  • If continuation becomes impractical or inadvisable

Upon termination:

  • Client remains responsible for fees for work completed
  • We deliver work products completed to date of termination
  • Confidentiality and intellectual property provisions survive
  • Each party returns or destroys confidential information as appropriate

13. Dispute Resolution

These terms are governed by the laws of Hong Kong. Any disputes will be resolved as follows:

  1. Initial attempt at informal resolution through good-faith discussion
  2. If unresolved, mediation through a mutually agreed mediator
  3. If mediation fails, disputes subject to Hong Kong court jurisdiction

Both parties agree to maintain confidentiality regarding dispute details and resolution discussions.

14. General Provisions

These Terms and Conditions together with any engagement letter constitute the entire agreement between parties regarding the subject matter. They supersede all prior discussions, representations, or agreements.

If any provision is found unenforceable, remaining provisions continue in full force. Our failure to enforce any right does not constitute waiver of that right.

We may assign our rights and obligations under these terms. You may not assign your rights without our written consent.

15. Changes to Terms

We may update these Terms and Conditions periodically. Changes become effective:

  • For website users: Upon posting of updated terms
  • For active engagements: As specified in engagement letter
  • For new engagements: Upon engagement commencement

Continued use of our services after changes constitutes acceptance of updated terms. We will provide notice of material changes through our website or direct communication.
